WiseTech plans FRDM.ai acquisition to power VerifyWise
WiseTech Global plans to acquire FRDM.ai for US$10 million upfront in cash and shares, with up to US$14.31 million in earn-outs, expected to close by 3 August 2026. The deal will integrate FRDM.ai’s AI-powered multi-tier supply chain risk and compliance intelligence into WiseTech’s VerifyWise platform, expanding from transaction-level screening to network-level verification. FRDM.ai maps supplier networks across multiple tiers and scores risks in real time using data from over six billion trade records, covering modern slavery, sanctions, and other compliance obligations. The acquisition is part of WiseTech’s strategy to become the operating system for global trade and logistics, leveraging its large customer base to cross-sell and strengthen data networks. In parallel, WiseTech plans to issue up to 192,150 ordinary shares to partially fund the acquisition, with the equity valued around AUD 6.5 million and an escrow period of 12 months. Completion remains subject to customary conditions precedent and market-based pricing determined by a 10-day VWAP.
