Brookfield Infrastructure Gets Approvals to Combine Two Entities
Brookfield Infrastructure has received all required approvals to combine Brookfield Infrastructure Partners and Brookfield Infrastructure Corporation into one corporate structure, with completion expected November 19, 2026. At closing, existing securityholders are expected to receive one class A subordinate voting share of Brookfield Infrastructure Partners Inc. for each existing security they hold. The company is not declaring a fourth-quarter distribution or dividend before the transaction closes; afterward, the new entity plans, subject to board approval, to pay a dividend consistent with the current quarterly distribution of US$0.455 per unit. The existing distribution reinvestment plan ends November 5, and participants will receive replacement shares at closing; a new, similar plan is expected, with current registered participants required to confirm enrollment by May 19, 2027. The new shares are expected to begin trading under the symbol BIP on the New York Stock Exchange and the Toronto Stock Exchange around November 23.
